YOUYA operates this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the “Services”). YOUYA is powered by Shopify Inc., Shopify Commerce Singapore Pte. Ltd or Shopify International Limited, depending on YOUYA's location, which enables us to provide the Services to you.
The following terms and conditions, together with any policies referenced here (collectively, these “Terms of Service”), describe your rights and responsibilities when using the Services. 3. ORDERS
When you place an order, you make an offer to purchase and authorize us and our payment processors to charge the total order amount to your selected payment method. YOUYA reserves the right, subject to applicable law, to accept or decline your order for any reason at its discretion. Your order is not accepted until YOUYA confirms acceptance. We must receive and process your payment before accepting your order. Please review your order carefully before submitting it, as YOUYA may be unable to accommodate cancellation requests once an order has been accepted. If we do not accept, change or cancel an order, we may attempt to notify you using the email address, billing address and/or telephone number provided when you placed it. Purchases are eligible for return or exchange only in accordance with our Return and Refund Policy. This does not limit any rights you may have under applicable law. You represent and warrant that your purchases are for personal or household use, not commercial resale or export.
4. PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect when you place your order and will be listed in your order confirmation email. Unless expressly stated otherwise, published prices do not include taxes, shipping, handling, customs or import charges. Prices in our online store may differ from those offered in physical stores or online or other stores operated by third parties. We may offer promotions that affect pricing and are governed by separate terms and conditions. If promotion terms conflict with these Terms of Service, the promotion terms prevail. 5. SHIPPING AND DELIVERY
Unless otherwise stated, we are not responsible for shipping and delivery delays. All delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, customs processing or events beyond our control. To the maximum extent permitted by applicable law, title and risk of loss transfer to you when we hand products over to the carrier, except where applicable law provides otherwise. We are not responsible for delays or failures caused by events beyond our reasonable control, including carrier or customs delays, natural disasters, severe weather, labor disputes, supply shortages, utility or telecommunications interruptions, cyber incidents, government actions or similar events. 6. INTELLECTUAL PROPERTY
Our Services, including all trademarks, brands, text, images, graphics, product reviews, video and audio, are owned by YOUYA, its affiliates or licensors and are protected by trademark, copyright and other intellectual property laws in the United States and other countries. Product pages are likewise managed and owned by YOUYA. Purchasing or receiving any product does not grant or confer any intellectual property rights in the product, its design, software or underlying technology, including patent, copyright, trademark or other proprietary rights. All such rights remain exclusively with YOUYA or the original rights holder. These Terms permit you to use the Services only for personal, non-commercial purposes. Without our prior written consent, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material on the Services. Unauthorized use of the Services may violate applicable intellectual property or other laws. All rights not expressly granted are reserved by YOUYA. YOUYA's name, logos, product and service names, designs and slogans are trademarks of YOUYA, its affiliates or licensors and may not be used without YOUYA's prior written permission. Shopify's name, logos, product and service names, designs and slogans are Shopify trademarks. All other names, logos, product and service names, designs and slogans on the Services are trademarks of their respective owners.
7. OPTIONAL TOOLS
As part of the Services, we may provide access to third-party customer tools that we neither monitor nor control and over which we have no input. You acknowledge and agree that access to these tools is provided “as is” and “as available,” without warranties, representations or conditions of any kind and without endorsement. We have no liability arising from or relating to your use of optional third-party tools. Your use of optional tools offered through the website is entirely at your own risk and discretion. You should ensure that you understand and agree to the terms under which the relevant third-party provider supplies them. 9. RELATIONSHIP WITH SHOPIFY
YOUYA is powered by Shopify, which enables us to provide the Services. When you use the Services, your device communicates with Shopify's systems to deliver them. Section 10 explains how Shopify uses and processes information from these interactions. However, any sales and purchases you make in our store are directly with YOUYA. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and YOUYA, including any injury, damage or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from claims, damages and liabilities arising from or relating to your purchases and transactions with YOUYA.
10. PRIVACY POLICY
Our Privacy Policy explains how we may collect, use and disclose certain personal information you provide when using the Services. By using the Services, you acknowledge that you have read it. If an order is canceled after payment has been collected, we will issue all refunds required by applicable law.

13.2 You also agree not to: (a) upload or transmit viruses or malicious code that will or may affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services; (c) collect or track others' personal information; (d) spam, phish, pharm or pretext in connection with the Services; (e) use robots, spiders, scrapers, data gathering or extraction tools, automated devices or processes, AI tools such as agentic AI, or automated or manual means to access the Services; or (f) interfere with, bypass or circumvent security or authorization features, robot exclusion headers or other measures used to restrict access to the Services. If we determine that you have violated any part of these Terms, we reserve the right to suspend, disable or terminate your account at any time without further notice.
14. AGENTS
14.1 This section (the “Agent Terms”) applies if you use, permit, enable or cause an Agent to access, use or interact with any Services. “Agent” means software or a service that takes autonomous or semi-autonomous actions on behalf of, or at the direction of, any person or entity, and may act for any person or operate on an individual's device without direct supervision.
14.2 No Agent may access, use or interact with the Services unless it identifies itself at all times and operates strictly in accordance with Section 14.4 below. An Agent must not access, use or interact with any Services if we have asked it to refrain from doing so.
14.3 We may restrict whether and how an Agent accesses, uses or interacts with the Services, including through technical measures.
14.4 Agents must: (a) identify all HTTP/HTTPS requests as coming from an Agent and disclose the Agent's name by including “Agent/[agent name]” in the request's user-agent string; (b) not conceal or obscure that access, use or interaction originates from an Agent, including by (i) mimicking human behavior and interaction patterns or (ii) completing or circumventing CAPTCHAs or measures designed to distinguish computer use from humans; (c) truthfully answer questions or prompts designed to determine whether an interaction is human or computer-generated; and (d) not circumvent or otherwise avoid measures intended to block, restrict, modify or control whether and how Agents access, use or interact with the Services.
15. TERMINATION
We may terminate this agreement or your access to the Services or any part of them at any time at our sole discretion without further notice. You remain liable for all amounts due up to and including the termination date. The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive.
16. DISCLAIMER OF WARRANTIES
Information presented on or through the Services is provided for general information purposes only. We do not warrant its accuracy, completeness or usefulness. Any reliance on it is entirely at your own risk. We disclaim liability and responsibility arising from reliance on such materials by you, any other visitor to the Services or anyone informed of their contents.

We do not guarantee, represent or warrant that your use of the Services will be uninterrupted, timely, secure or error-free. Some jurisdictions restrict or do not allow disclaimers of implied or other warranties, so these disclaimers may not apply to you.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by law, in no event will YOUYA, our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, or Shopify and the corresponding persons of its affiliates, be liable for injury, loss, claims or direct, indirect, incidental, punitive, special or consequential damages of any kind arising from use of any Services on this website or products purchased through the Services, including lost profits, lost revenue, lost savings, lost data, replacement costs or similar damages, whether based in contract, tort including negligence, strict liability or otherwise. We are also not liable for claims related to your use of the Services or any product, including errors or omissions in content or losses or damages resulting from use of the Services or content or products posted, transmitted or made available through them, even if advised of their possibility. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
18. INDEMNIFICATION
You agree to indemnify, defend and hold harmless YOUYA, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from losses, damages, liabilities or claims payable to third parties, including reasonable attorneys' fees, arising from (1) your breach of these Terms or referenced documents, (2) your violation of law or third-party rights, or (3) your access to and use of the Services. We will notify you of indemnifiable claims, and failure to give prompt notice will not relieve your obligations unless the delay materially prejudices you. We may control the defense and settlement of such claims at our own expense, including choosing counsel, but will not settle any claim imposing non-monetary obligations on you without your consent, which must not be unreasonably withheld. You will cooperate in the defense, including by providing relevant documents.
19. SEVERABILITY
If any provision of these Terms is determined to be unlawful, void or unenforceable, it will nevertheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion will be deemed severed. This determination will not affect the validity or enforceability of the remaining provisions. Nothing in these Terms limits rights you may have under applicable consumer protection laws or other laws that cannot be waived by contract. If any part of these Terms conflicts with those rights, those rights prevail.
20. WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver. These Terms and any policies or operating rules posted on this website or relating to the Services constitute the entire agreement and understanding between you and us and govern your use of the Services. They supersede prior or contemporaneous oral or written agreements, communications and proposals between you and us, including earlier versions of these Terms. These Terms are governed by the laws of the jurisdiction where YOUYA is headquartered or incorporated, without regard to conflict-of-laws principles. Unless prohibited by applicable law, you and YOUYA agree to the jurisdiction and venue of the courts located in that jurisdiction and consent to their venue and personal jurisdiction. Nothing in this section limits any right to bring claims in your local courts or rely on mandatory laws applicable in your place of residence.
23. TRANSLATIONS
These Terms may be available in languages other than English. If there is any inconsistency or conflict between the English version and another language version, the latest English version prevails. Unless YOUYA determines otherwise at its discretion or applicable law requires otherwise, disputes arising from these Terms will be resolved in English.

The headings in this agreement are included for convenience only and do not limit or otherwise affect these Terms.
25. ELECTRONIC COMMUNICATIONS
By using the Services or placing an order, you agree that we may send transactional and service-related communications electronically, including by email, account notifications or postings on the Services. These communications may concern your orders, account, purchases, returns, these Terms or other service-related matters. You are responsible for keeping your contact information current.
